The ,1C per cent dividend on the preference shares would be payable out of net profits ~ To Profit and Loss Account would enly be charged the actual expense items and £260 per annum for man ag.rial fee payable to ThompsonPayne. The dividends payable on the preference shares would NOT be cuimlnatlve, but would be payable halfyearly out of profits gained during each half year If say, 5000 preference shares value £1 each were Issued to shareholders their 5500 ordinary shares to be issued to Thompson and Payne as the purchase price of the Masterton business so that on a voting basis of one vote per share Thompson and Payne would hold the balance of voting power and so conr

We are w«II established as live'and enterprising entertainment caterers, and shareholders would have a very safe investment Our film arrangements enable us to draw upon all the leading makers for the best of their supplies and our Masterton house would have the advantage of the good film contracts we are able to obtain by virtue of our having our Napier house, as at present. The new building is to-be erected on our site next the Foresters' Hall. In erecting the best value possible would be obtained fcr our shareholders, as the electric installation would be done by our Mr Steel who is a practical electrician and whose work at Napier in instniiing the electric system at the Gaiety Theatre and at She Caiety Skating Rink elicited 'warm praise from t?ic Fire Underwrit ers' Inspector. A great saving would thus be effected. The castings for the chairs, and a*so the upholstering would be done in Masterton, and so secure the best results in the most economical way on the plan we adopted in Napier, where every item of furnishing was of focal manufacture We will now be g!ad to hear from those willing to take up shares on the lines suggostex! absve. and on receiving intimation to that effect from a sufficient number, W o will proceed to flotation and issue a prospectus.
