The LaMonts Syndicate.
A large and influential meeting of gentle* men was held in Auckland on Wednesday afternoon at the Chamber of Commerce, the business being to consider the ques« tion of forming a public cempany for the working of Mr LaMonte's smelting process. Nr J. M. Lennox was voted to the chair, and in a few brief remarks explained the object of the meeting, and the action that had been taken by the executive committee at the various meetings held towards the forming of the syndicate into a public company.—The Secretary read the following proposal of the committee:
—" (ay That the syndicate be formed into a public company. (6) That the number of shares be 60,000 shares of £1 each, (o) That the capital of the company be divided into 24,000 paid-up shares (4000 of which to be allotted to Mr LaMonte), and 36,000 contributing shares (4000 of which to be allotted to Mr LaMonte). (d) That the syndicate take tip 10,000 contributing shares in the proportion of one contributing for every two paid-up shares they hold, (c) That the number of contributing shares to be offered to Ihe public be 22,000 at 2s 6d on application, and 2s 6d on allotment/ i It was resolfed, upon the motion of the ! Chairman, seconded by Mr McMillan, " That a company be formed to acquire the rights and interests held under the agreement made with Mr LaMonte, and that the name of the company be the New Zealand Smelting Company."—Proposed by Mr McLeod, and seconded by Mr MeMillan, " That the capital of the company be £60,000 divided, as follows :~JB,Q2Q fully paid-up shares, to be flrfraed amongst the syndicate; 4000 fully paidup shares to Mr LaMonte, making 34,000 paid-up shares. 26,000 contributing shares, to be appointed as follows :— 4000 to Mr LaMonte, 12,000 to the syndicate, divided pro rala, and 10,000 to be reserved for future distribution." It was also resolved, upon the motion of Mr A. Porter, seconded by Mr A.. G. Horton. " That the dividends be paid at per share, irrespective of the paid-up capital of th« company." The following provisional directors were then appointed:—Messri A. Saunders, C. Alexander, A. (j. Horton, J. M. Lennox, A. Pojjir, E. K. Davis, James Eussell, and Mf&reen. Messrs Bussel and CampbeW! were appointed solicitors to the company.—Herald;
