The following is a precis of the agreement re the Thames Valley Railway forwarded by Mr Eitso, of London, to his son in Auckland for signature, and referred to by " our own correspondent" in bis telegram of Saturday last, and proves that the syndicate which Mr Eitso represents means business. This matter should be prominently brought before'the Premier tomorrow, and if he is not in a position to promise the company all their requests, an expression of opinion should certainly be elicited from him as to whether we shall have the same concessions granted to us.as hare been given to* the directors of the Wellington-Manawatu line, and the Tauranga«Rotorua railway:—" On behalf of myself and friends I agree and undertake to form a company to take over a contract with the Government of New Zealand for the acquisition and construction cf the Thames Valley Railway in that colony, about thirty-four miles in length from Kopu to Te Aroha, and which contract shall include the free acquisition and transfer to myself and friends, or to .the proposed company of that portion of the railway already constructed by the Government Grahamstown and Kopu, and to raise funds not exceeding in the whole the sum 0f..................p0unds (£ .....), either by issue of shares, mortgage debenture bonds, or otherwise as may be deemed by me advisable for the purpose of carrying out such contract in accordance with the Bailways Construction and Land Act, 1881, and Amendment Acts, 1883, of New Zealand, you undertaking to obtain the required authority of the Governor of the Colony confirming the construction of the railway and the acquisition of the lands to be allocated, it being understood that under the provisions of those Acts the Government grant a sub* sidy in land to the equivalent value of thirty (30) per cent, on the cost of the railway, calculated at a cost of five thousand pounds per mile so soon as the said contract has been transferred to you on account of myself and friends, or to the Company.- The said lands to be valued at a present price not exceeding twelve .shillings and sixpence per acre, and if' possible not exceeding six shillings and eightpence per acre on the average. The lands to be allocated to be situate in - the immediate locality of the railway, or as near thereto as the parts colored green on the map annexed will render available. The remuneration payable to yourself and to those engaged in the undertaking in New Zealand to be the sum of pounds, which sum is to include the acquisition and transfer to myself and friends, or the proposed company, of that portion of the railway already constructed from Grahamstown to Kopu, and to be paid in fully paid up shares of the company, such shares to bo issued to you or your nominees within three months after the first allotment of shares is made by the company, and I further agree, on behalf of the proposed company, that the sum of pounds (£ ) in cash shall be paid to you or your nominees out of the first monies received by the said company for the expenses of a survey for a judicious selection of.the lands to be allocated.' It is further understood that estimates of competent engineers, accompanied by .working plans and sections, aa well as tenders from responsible New Zealand, contractors, giving sufficient guarantees to insure the due and proper fulfilment of any contracts undertaken by them; such tenders are not necessarily to be accepted, but shall satisfy me that the construction; equipment,.the stations, and all, other expenses up to the opening of the railway for traffic shall not exceed the ■»«•« pounds per mile. This last stipulation is to be an essential element in this or any arrangement with you, and ■hall be considered as of the essence of this contract."
