The Company is formed to purchase from Robert Graham, Esq., the valuable Hot Springs, Batbs, Hotel, and Estate, situated at the Waiwera, within four hours by coach road, or twenty-four miles by water, from the City of Auckland. Steamers run daily, and a mail coach to and from the North Shore three times a week. The Waiwera Harbour being within the Hauraki Gulf, offers a delightful pleasure trip, of which many thousands avail themselves during the year. The beauty of the harbour and of the surrounding country, as well as the curative properties of its perennial and abounding thermal mineral springs, are so widely known that comment is unnecessary. Seabathing, river bathing, and boating on the river which runs through the property, are among the many attractions of this unique estate. The climate is so mild and .equable throughout the year that tobacco and the orange and lemon grow luxuriantly. Mr Graham has spent large sums in developing the property since he acquired it nearly forty years.ago. Having brought it into a paying condition, he wishes to retire and leave to others the further great improvement of which the Waiwera property is now capable. The property handed over to the Company will consist of the Hot Springs (which have yielded an inexhaustible supply of mineral water from tim 3 immemorial) ; the Hotel which is doing a large and profitable business, and capable of accommodating from 90 to lOu persons comfortably j the.whole of the Harbour frontage, and 728 aores more or le>>B of adjacent country. The latter is admirably adapted for a Township, Villa Residences, and small Farms. It will become very valuable when a proper wharf is built by the Government, whioh, itis hoped, will not be much longer delayed. A further block of 102 acres has been leased by Mr Graham, from Mr Anderson, at a rental of £50 per annum, for 20 years, with a right to purchase for £1000. This lease will also be handed over to the Company. The property, with Furniture, Plant, Live Stock, etc., Baths, Bath-bouses,' Hotel, Cottage's, Lund, and the Leaße above mentioned, will be sold by Mr Graham to the Company for £23,000. Mr Graham only requires onehalf of/ this amount to be paid within six months from allotment of shares, and trill accept fully paid up shares for tha .balance of the purchase money. One-third of the shares will be apportioned to and reserved for the Southern Provincial Districts of New Zealand, and Sydney and Melbourne. The preliminary expenses incurred in the formation of the Company will also be paid by Mr Graham. The Hotel ■ business yielded last year a net profit of £1,622, to whioh sum it has steadily grown from the small beginnings of eight years ago, when accommodation for visitors was .first attempted. It is proposed to appropriate £7000 in enlarging the Hotel and other improvements, in order to keep pace with the growing demand and great increase of visitors from the South of New Zealand, and from all parts of Australia and the South Sea Islands. The profits of the year may then be confidently estimated at from £2000 to £3000, with a proportionate increase in the years to follow. From the land alone a large revenue must ultimately bo secured, and in the meantime the current and increasing business is a sufficient guarantee for handsome dividends to the shareholders. A meeting of the subscribers will be convened for the Election of Directors, kc. (who will be duly appointed according to the num. ber of shares taken up in each Provincial, District and in Sydney and Melbourne), of which due notice will be given. Applications for Buares will be received by the members of the Auckland Brokers' Association, and at the temporary offices of the Company, Colonial Bank Buildings, Queen-street, till 20th day of July, 1882. Robebt Gbaham, Esq., Sir, —Having completed the audit of your Manager's books and accounts for the year ending 13th May, 1882,1 have now the pleasure of handing you the accompanying documents, viz.: Profit and Loss Account, Receipts and Expenditure Account, and the Balancing Account on 13th May, 1882. Reference to the Profit and Loss Acoount shows that the business done during the twelve months amounted to £5,159, yielding a profit of £1,622. ■ The figures for the year ending May 13th, 1881, were—Business done, £4,545, and profit, £1-,291. The business done in the year ending 13th May, 1882, has,therefore been £614 and the profit £331 more than during the previous year.
