I This Association is promoted with the object of securing for its members freehold farms in the Waimate Plains (or some other suitable locality) on the most favo'able terms and conditions, vrith a view of supplying to some extent the great and increasing demand for 'email holdings for hona fide settlement.. As soon as the block is decided upon, and the preliminaries arranged, it will be surveyed into sections of limited area and apportioned, by lot or otherwise, according to rues to be agreed upon at a general meeting of the subscribing members of the proposed Association in selections of a minimum value of One Hundred Pounds (£100) sterling, and a maximum value of (£400) sterling. The Provisional Directors will 1 endeavor to induce the Government to grant to members of the Association such "modifications of the land on deferred-payment clauses of the 'Land Act, 1877, as may facilitate occupation by hona fjAe settlers and subscribers without j necessitating strict compliance with the pre-j gent provisions of those clauses. The Provisional Directors will also endeavor to make provision for 1 ample reserves for religious, educational, recreation, and public health purposes, as suggested by the Minister of Lands to the deputation which lately waited upon the Government with the view of bringing this scheme under their notice and favorable consideration. ..""., The payments are'to be computed on some well-defined, liberal, and eaßily-URderstood system of deferred payments, to be made by instalments extending over a period of, cay not less than ten (10) years. Each subscribing member wil be required to deposit a sum equal to ten percentum of the total value of the share of land he applies for before his application can be entertained, and a further payment of two.percentum per month on eaid total value until such time aB the block to be applied for is acquired by the Association, .and possession can be given to applicants,or until such time as the Association shall make arrangements with the Government for allotting land to the subscribers, provided always that euch monthly payments of two jercenlum do not extend to a further period than six months from date of application. . . . All ; monies .received are to bepaid into the Colonial Bank of New Zealand to* the Association's account, to be opened in the name of the Trustees, on .fixed deposit bearing interest, and no withdrawals or payments to be made by cheque agaiußt euch account without the authority and signature of the Treasurer, one of the Trustees, tind three Directors being first obtained. - Agents, or Aoting-DirectGirs, for the Association will also be appointed in all the centres of population throughout tho provincial district as soon as practicable. As soon as, in the opinion of the Provisional Directory, a sufficient number of shares are applied foe/a general meeting of subscribing members will be called for the purpose of passing, and adopting permanent rules and by-laws or articles of Association for the future guidance of the Association, and also for the election of a permanent Board of Directors and Management. If the Provisional Directors are unable, to make satisfactory arrangements with the Government,. or from any other cause they find that they are unable to carry out the scheme 'suggested by this prospectus, they may return to each subscriber the amount of his subscription with accrued interest, lees his share of the expenses or liabilities then incurred. As it is of the utmost importance and imperatively necessary that no time should be ioßt in organising the business of the Association,: the Provisional Directory therefore stipulate that the Hat of subscribing ipe tubers should be finally closed not later than the 31st January, 1880.
