Meetings 10. Any ..member of committee absent at three consecutive meetings without adequate written excuse shall be deemed to have vacated his seat, and another member shall be elected in his stead. 11. The committee shall have power from time to time to make, repeal, or alter such subordinate regulations as they may think expedient (but so as they may be consistent with the spirit and object of these rules) for regulating their own forms of procedure, and the duties of the officers, and for conveniently carrying out the intention of these rules. 12. The committee shall hare power to employ such solicitor, and keep the account'of the Society at such bank as they from time to . time may see fit. , 13. Should it be deemed advisable for the interest of the Society it shall be lawful for the committee to apply for and obtain from the banker or other persons such sums of money by way of loan or otherwise as may be necessary, provided that such sum or sums of money so borrowed shall not in any case exceed one-half the amount advanced by the Society to its members, and for which security has been taken in the names of the trustees ; and all the property, for the time being, vested in the trustees of the Society, shall be a security for suck money or moneys so borrowed as aforesaid. - 14. The committee shall annually elect a chairman from their own body. RULE V. CHAIRMAN. 1. The chairman shall, when present, preside at all meetings of the Society and committee. 2. The chairman shall have power to convene special meetings of of the Society or committee. 3. In the event of the absenco or inability of the chairman from illness or any other cause the committee shall have power to appoint one of their number to act in his stead. ..;■; RULE VI. SECRETARY. 1. The secretary shall attend every meeting of the Society and committee, and shall enter minutes of the resolutions and the business of the Society in the minute book; he shall keep the accounts in proper books to be provided for the purpose (which books shall be kept in a fire-proof safe to be provided by the Society) ; shall conduct all correspondence and shall attend at the office of the Society at such times and at such hours ns the committee may appoint for the purpose of receiving the names of new members, applications for leans, or for any other business which the committee may from tim,e to time order to be done, for which duties he shall be paid a salary or remuneration at the discretion of the committee. 0 2. A schedule of the deeds deposited with the Society shall be kept by the secretary, to be at all times accessible to the trustees and committee. i 3. The secretary, shall have power to call a special meeting of the committee at any time, stating its object. 4. The secretary and any other officer .filling- a situation of trust shall, if required, give such security as the committee may deem proper. , RULE VII. TREASURER. 1. The Treasurer shall be answerable for all moneys of the Society received by him, and shall on the day following every monthly meeting night pay into the hands of the banker, to the credit of this Society, all "moneys received by him, and at the same time leave the banker^ pass-book to be made up. 2. Any neglect to account for and pay over the moneys so received by the said Treasurer as aforesaid shall forthwith be communicated by the Secretary to the Chairman, who thereupon shall convene a meeting of the committee (notice thereof to be given to the Treasurer), and in case the, said Treasurer shall have neglected to pay the money into the bank as-aforesaid, and on request by thecommittee, shall neglectorrefuse to pay the same to such person as the committee shall, appoint, the committee shall, and they are hereby authorised and empowered to, expel the said defaulter, who shall moreover be liable to be proceeded against in such manner as the committee shall deem fit for the recovery of such money. 3. For the purpose of the last-mentioned regulation, the non attendance of the Treasurer so in default as aforesaid at such mentioned committee meeting, shall be deemed and considered to be a a refusal on his part to conform to the resolution of such committee. 4. In the month of August in every year the treasurer or secretary shall prepare a general statement of the funds and effects of the Society, an account of all sums of money received and expended on account of the Society since the publication of the preceding annual statement, and every such annual statement s>all be signed by the auditors, and countersigned by the secretary of the Society; and every member shall be entitled to receive a copy of such annual statement. RULE VIII. SOLICITOR. 1. The solicitor for and on betalf of this Society shall peruse and examine the title to all property offered as security forany of the money or lunds of the Society, and shall also prepare^and be responsible for the due execution of the mortgages for securing such money and funds before the same shall be paid and advanced; and should the solicitor be of opinion that the title to any properly is not such as can be safely accepted by the Society, he shall signify the nature of his objections to the committee under bis hand, and the cost ot investigating such insufficient title shall be borne and paid by the •nareholder proposing such property as security. 2. .The solicitor shall, whenever an advance is made by the Society upon security of freehold or leasehold property, furnish the secretary with, a schedule of the deeds relating to the property mortgaged to this Society, and also the policy of insurance for the same as agreed upon by the committee. RULE IX. AUDITORS. Two auditors shall be appointed from year to year by and from among the shareholders at the last monthly meeting preceding the termination of the financial year for the purpose of auditing the accounts of the Society, and it shall be their duty to examine and certify to the annual general statement of ike funds and effects of the Society prepared by - the Treasurer ,or Secretary as hereinbefore provided. RULE X. . . .;■■■ . , ARCHITECT. OR SURVEYOR. 1. The committee shall have power to appoint an architect or surveyor, whose duties shall be, when requested by the committee, to survey any property offered as security, and to send in his report thereon to the committee, and also to estimate tho amount to be advanced on all unfinished property, as in rule xix, section 13. . 2. The fees to tke arckitect for surveying and valuing skall be determined by tke committee, and skall be paid by tke borrower. >* RULE XL . ,', ; . ■:.■■:, REMOVAL, OF OFFICERS. The treasurer.(except in the case already provided in rulo vii.) or tke secretary shall only be removable from their respective offices by a resolution of a majority of tworthirds of the members present at a general meeting especially convened for the purpose, but the committee shall have power to suspend either the treasurer or secretary until such meeting can be keld. - :v RULE XII. . SHARES. 1. The value of a share shall be £25, and wkenevci tke amount contributed by an investing member, with or without interest and profits, shall have reached that sum, a share shall be considered as fully paid up. 2. The entrance of all members of this Society skall be dated from tke date of the meeting at wkick the first contribution is made, or if suck contribution is not made on a meeting night, then from the next succeeding night of meeting. 3 Two or moremembers shall be allowed jointly to hold one or more shares, and either of suck persons wko may attend a meeting shall, for tke purpose of voting, be deemed the sole proprietor of such share or shares; and on all occasions the vote of such member shall be allowed as the vote in respect of such share or shares without proof of tke concurrence of tke otker kolder or holders thereof. * : RULE XIII. ■ ' . SALE AND TRANSFER OF SHARES. 1. Any member shall be at liberty to sell and transfer his skare or.-skares, or any one or more of tkem, on payment of one shilling for each, skare transferred by suck member as a bonus to tbe Society, and ot all fines and subscriptions then due to the Society in respect of such skare or shares, witk all liabilities and engagements. . ; -'■■ RULE XIV. . ' ■..,'.. SUBSCRIPTION AND MODE OF PAYMENT. 1. Tke sum of one skilling shall be paid by every person joining the Society as entrance fee on each skare, and one shilling for a copy of the rules and passbook. 21 Every investing member shall pay a subscription of five - shillings upon each share, provided suck share or shares are not paid in advance, and skall upon every subsequent montkly meeting pay the said subscription, togetker witk all fines which may have been incurred
