NOTICE is hereby given that an Extraordinary Meeting of the Caledonian Gold Mining Compauy (Registered) will be held ia the Large Room of the New Zealand Insurance Company's Buildings, Queen-street, Auckland, on Wednesday, November 11, 1874, at 12 o'clock noon, for the purpose of considering and pacsing (i£ approved) the following resolutions :— That the Caledonian Gold Mining Company (Registered) be wound up, under'clause 59 of tin Mining Companies Act, 1872, That a new Company be formed, to be eilled the Caledonian Gold Mining Company (Limited), to be registered under the Joint Stock Companies Act, 1860, for the purpose of acquiring the property and carrying on the mining operations of the old Company. That the Capital of the new Company shall be £40,040 in 2,860 Shares of £12 each, fully paid up, and 2,860 Shares of £2 eajh, on which £2 per Share may be called up. That eich Shareholder in the new Company shall be entitled to One fully Paid-up Share for every Share held by him in the old Company. That one Share in the now Company on which £2 may be called up, shall be offered to fhateholders in the old Company for every Share held by them. That th« holders of such new Shires shall, without regard to ihe nominal value thereof or the amount called up thereon, be on the same footiug as the holders of the paid-up Shares, and shall be entitled equally with thein to the property of the Company and to share in all dividends and profits. That such offer shall be made to each shareholder by notice specifying the number of Shares to which he is entitled, and limiting a time within which the offer, if not accepted, will be deemed to be decliued. That on the acceptance of such Shares a deposit of Five Shilliugs shall be paid, and the remainder of the Two Pounds per Share • be Lorn tune to time called up (if required) in such instalments as the Directors think lit. That after the expiration of the time limited for the acceptance of new Shares, or on receipt of an intimation from any Shareholder to whom notice is given that he declinps to accept the Shares offered, or on fa'lurc to pay the deposit as required, such Shares shall become the property of the Company, and may with other Shares the property of the Company be from time to time sold by the Directors in such numbers, at such times, in i-uch manner, and for sucli price as the Directors think fit.
