MEETING OF SHAREHOLDERS. The first meeting of shareholders in the newly formed. KairnaLi Co-operative .Dairy Company was held in the Kaimata llall 011 Tuesday night, every shareholder in. the company 'being present. The object of the meeting was to receive the report of the Provisional Directors and elect the permanent ones, and elect an auditor. Mr. C. Dobson (Chairman of the Provisional Directorate) presided. Reviewing the operations of the company, Iho 'Chairman said that at the lirst meeting of settlers held to consider the question of a cheese factory the provisional directors were elected and instructed to proceed with the work. The contractors for the erection of the building had carried out their work satisfactorily. The only regret the provisional directors had was in the matter of the vats. They would have much preferred to have had these as new, as everything else to hand over, but that could not be, as it was imperative to get ready for receiving milk at the earliest moment.
At the request of the Chairman the secretary submitted the following list of liabilities incurred:—Balance on building contract £405, range in cottage £O, balance of plant contract £2lO, balance on vats £OO, estimated cost of tools £lO, and formation expenses £SO, architect's fees ,on building and plant £B(i 10s (of which the architect remitted £6 10s to be apportioned in reduction of Clerk of Works salary), Egmont Box Company shares £43 15s, shares in Freezing Company (estimated) £IOO, sundries, road, creek, metalling, etc., £lO5 7s 3d, making the total chargeable against capital account £2BOO, in addition to which there were charges for railage, manager's salary, petty cash and other small items which would be chargeable against the year's working account. The report was adopted, and the following directors were elected:—Messrs. Boeock, Burrell, Capper, Death, C. Dobson, Klenner and Webster.
Mr. C. Old proposed, and Mr. Burrell seconded, that Mr. DeWhirst be elected auditor at a remuneration of £3 3s. Mr. Capper read a letter from Mr. Hopson offering liis services as auditor at a fee of £1 k, and proposed him for the position, Mr. Ivlenner seconded, and he was duly elected. -Mr. Dobson thanked the shareholders for the confidence they placed in him, and assured them lie should always do his very best for the company's prosperity. lie hoped shareholders would see to it that they sent their milk in the best possible condition, as on that must depend the quality of the output, and in some measure, also the quantity. The factory was ready but the metalling of the road was not quite finished, but they would open to receive milk on the first of November. In case of bad weather, there might be a little bother with tke road, 'but he hoped it would soon be all right. They had engaged as manager, Mr. Laeey, who had been first assistant at Lowgarth, which, as they knew, was one of the best factories in the colony,, and its manager had been there, ever
since it opened,, some seventeen years ago, and had trained the man they had secured. Mr. Burkhardt broached the question whether it would be advisable to inaugurate thedual test of -butter-fat and casein, and after some discussion it was resolved to go on: paying out on the butter-fat' test only as at present. A motio;i: "That it be a recommendation to the directors to send away its output on open consignment Henry Lane and: C 0.," was moved. An amendment to send it through the Bank of New Zealand was defeated, and the motion adopted. • A motion to place a premium on all shares issued after December Ist was de&ated.
At a subsequent meeting of the directors Mr. C. Dobson was elected chairman, and Mr. W. E. Pereival was'appointed secretary. The directors also resolved: "That the output be sent on open consignment to Messrs. Henrv Lane and Company."
