MOA DAIRY COMPANY.

Another extraordinary general meeting of the Moa Farmers' Co-operative Dairy Company, Ltd., was held in the Parish Hal'l, iiiglewood, on Saturday afternoon. There was a good attendance of members, Mr. D. Herlihy (chairman of directors) presiding. The first business for which the meeting had been convened was to. confirm a special resolution passed at a previous meeting, viz., "That the new Articles of Association, already approved by that meeting, be and are hereby approved and adopted as the Articles of Association of the Company, in lieu of all existing Articles o£ Association." It was proposed by Mr. Stachurski, and seconded by Mr. Jones. Mr. W. H. Leech wanted to know if an amendment could be proposed. The chairman said no. They were in duty bound to pass this now the matter, had gone so far. It had practically been approved before, and was only] brought forward for confirmation formally. A Voice: "It was not approved before.' The chairman then asked was a poll demanded, or would the meeting agree to a show of hands on the question. Personally, 'he wanted to get the meeting over as quickly as possible. A poll was demanded by more than five (the' required number), and considerable argument then ensued, several speaking at once. Several shareholders, however, became impatient, and urged that the poll be gone on with, and accordingly Messrs. Hamerton, Garcia, Williams and Kilpatrick were appointed scrutineers. The voting resulted: For the resolution 313, against 96. The resolution was thus easily earned. The meeting then turned to the question of creameries, and Mr. W. H. Leech moved the following resolution: "That the company forthwith purchase a site on Junction road, between Mangaone road and Tariki road, and erect thereon and equip a creamery at such cost as the directors shall think fit." This was seconded by Mr. Old. The chairman said this matter was settled at the la-st meeting, when he might perhaps have been a bit hasty in putting it. They had had so many legal opinions on that occasion ~that he might have been in a hurry at the finish. A deputation had waited on the directors and stated that he had put it as the "Tarata" creamery, so he had promised to give them another chance. ' A show of hands was then taken, and the motion was declared lost by 36 to 24. A poll was then taken, and the proposal was again lost by 231 votes to 201.

The' following resolutions were then discussed: "That the company forthwith purchase a -site on Bristol road, close to where the proposed bridge over the Manganui river is to be erected, «na erect thereon and equip a creamery,' and also "forthwith purchase from the Waitui Dairy Company the site and buildings now used by them as a factory, and equip such building as a creamery." The chairman said there was no doubt it would be a disadvantage to the Moa Dairy Company if a factory were erected on the Bristol road, but he did not see that they could erect a creamery there at present. When the bridge was built he was quite prepared to take in both Bristol road and Waitui. He would like to see a committee set up to assist the directors in dealing with the matter. Mr. Curtis said they did not want the creameries before the bridge, but what thev did want was an assurance that if the bridge were erected they would be taken in. They did not want the expense of erecting the bridge and then to be thrown «ut. A. resolution was, then moved that the two creameries be erected as soon as the bridge is built and the road made. This was carried unanimously.
