The report and balance sheet as already published was read. The cliarman briefly moved its adoption, Mr Humphries seconding.—Carried. The headquarters of the Union were fixed for Stratford, as at present. ELECTION OF OFFICERS.

The election of officers resulted : President, Mr F. T. BclHnger (re-elec-ted) ; Hon. Secretary, Mr P. acoglimd (re-elected); Hon. Treasurer. Mr. 1). J. Malone (re-elected) ; viufc-Fresideiil N.Z.R.U., Mr F. T. Bellringer ; Delegates to the New Zealand Hugby Union,.Messrs Humphries, Cargill and Scoglund ; Auditor, Mr A. Coleman re-appointed at the usual fee.

The election of the Management Committee was then proceeded with. The following were elected—Northern Division : Messrs J. McLcod, J. Clark and W. J. Crombie ; Southern Divisioi : Messrs J. O'Sullivan, W. Cargill, W. Powdrell; Western Livisiou : ,1. Garcia. A hearty vote of thanks was accorded the retiring oll'icers, only two of whom submitted themselves for re-election.

The following Weste.-n Division snlicouimittee was elected—Messrs Garcia (Rahotu), Gray (Opunake), O'Dcn (l'ihama), and a delegate to be appointed by Okato. GENERAL. The Okaiawa delegates explained that it had been found impossible to put a senior team in the district this season. They were desirous, however, of holding their district, and allowing the playci" to play for any of adjoining clubs t'h.'v wished. It was quite possible the clu'ii might be able to put strong teams ii the field next year.

The chairman pointed out that Has impossible under the rules, and would break up the district scheme, il the club went out of existence., tiie district would have to he divided up amongst the adjoining club districts. Several suggestions were made, and Mr Powdrell moved that the Okaiawa district be divided up amongst surrounding districts until such time as Okaiawa can put a senior team in the held. Seconded by Air Burke. Sir O'Sullivan moved an amendment that Okaiawa tic included in the Kaponga district until such time as okaiawa can put a senior team in the livid. Seconded by Mr Crawford. The amendment was carried.

Bayly Memorial.—The chairman reported that £32 was the total received tor this object so far.

The chairman moved that it be a recommendation to each of the clubs to set aside the gate at one match particularly for this object, the Union to do the same in the case of one of its matches. Seconded by Mr Humphries and carried. The Wav'erley Club wrote applying for inclusion in the Shranaki district. A wire was also received to the ell'cct that Wavcrley players would not be eligible to play in representative matches.— Ucferred to the Management Committee. The Eltham Club (Mr Cooper) applied in terms of notice of motion that h tiie case of a club entering two teams in the same grade, players may not he trnnsrerred from one team to the other without the sanction of the Union. Seconded by Mr. Powdrell. .Mr .lennillL's moved the deletion of the words " without the sanction of the union." Seconded by Mr Crombie and carried.

Mr Cargill moved a further amendment that the proposal apply onlv to first and second grades. Seconded by Mr Humphries. The amendment was lost. Mr Mc-Leod moved a further amendment that in the case of a club entering two teams in the third grade, one team shall be nominated as senior to the other, in which case players could only be transferred in the ordinary way from B to A. Seconded by Mr Edgecombe. Lost. The motion was then put and carried. Mr Humphries moved in accordance with notice of motion that the Xorther:i Division be divided into two, Eltham, Stratford and Iriglcwood playing in one division, and Star, Tukapa and Chiton in the other. Mr. Jennins seconded, i Messrs Sergei (Eltham), .Masters (Stratford) and Crombie (Inglewood) opposed the proposal. The motion was lost. Mr 1). J. Malone moved on behalf of the Stratford club that the words "always provided no active player is eligible lor a scat on the Management Committee," be added to rule ■'>. Seconded by Mr Young. Mr Crombie opposed, anil Mr Humphries favored the motion. ' The motion was carried, on the understanding that the rule come into effect in 1910. An application from Cliitou for a change of colors to green and gold, was approved. , On the motion of Mr Cargill the secretary was voted an honorarium of .ClO. i

Mr Orifliiths applied >for assistance from the Union towards the cost of entertaining the delegates at the X.Z. Referees' conference at Xew Plymouth at Easter.—The matter was referred to the favourable consideration of the .Management Committee.

An instruction was given the .Management to make a more equitable arrangement of travelling.

A vote of thanks to the chair and the Press concluded the meeting. At a subsequent meeting of the Management Committee, Mr \Y. Cargill was elected chairman, 'tile next meeting of the committee will be held on April 10th, when the season's fixtures will be arranged.
