IMPORTANT NOTICE VTV TO POWERCO LTD SHAREHOLDERS POWERCO Dear Shareholder DIVIDENDS ON FOUNDER SHARES For the purpose of calculating the dividend on Founder Shares, the Powerco Share Register will close on 28 February 1994. The dividend will be paid out in late March to the owner of the shares on 28 February 1994. After February 28, Founder Shares will trade "ex-dividend". This means that shares traded after 28 February are likely to trade at a slightly lower price because the purchaser will not receive a dividend on those shares this year. This year's dividend will be paid to whoever owns the Founder Shares on 28 February 1994. DIVIDENDS ON ORDINARY SHARES For the purpose of calculating the dividend on Ordinary Shares, the Powerco Share Register will close on 31 March 1994. The dividend will be paid out in August 1994 to the owner of the Ordinary Shares on 31 March 1994. After 31 March, Ordinary Shares will trade "ex-dividend". This means that shares traded after 31 March are likely to trade at a slightly lower price be because the purchaser will not receive a dividend on those shares this year. This year's dividend will be paid to whoever owns the Ordinary Shares on 31 March 1994. The dividend on "partly paid" ordinary shares will be calculated on the amount paid up on the shares on 31 March 1994.
