Copies of tlic Memorandum and Articles of Association can bo soon at tho Olliee of the Company, and at any of the Branches of the Bank of New Zealand, where forms of application can bo obtained, and deposits will be received. The Directors each subscribed for LIOHO cash (being part of ordinary capital) prior to the formation of the Company, and have undertaken its organisation as a thoroughly Colonial Institution, with head-quarters at Wellington. One-half only of the shares will bo immediately issued, and the Directors, having already apportioned a considerable luimhcr in securing a large amount of important support, are prepared to place the available balance in fair proportions throughout the Colony with persons whose business or influence is calculated to be valuable to the Company in the mutual interests of all concerned. The Company being thus possessed of strong insurance support, and being able to ! oiler the public the guarantee of ample cash capital, with thorough security, will commence business, the whole of the 100,000 shares being reserved for allotment in successive issues to actual insurers with the Company, under the provisions of tho Articles of Association, in proportion to the insurance premiums paid by thorn, Th» of shares for iss\"i*>, compared to I the amount of pounds storling of insurance premiums paid, will be declared from tirno to time at the disorotion of the Direotorn, so as to oiler a continuous induQomont to insurers to join tho Company, Several of the Directors have had exp<rieuco of the great advantage of mutuality in connection with the most successful of Life Association Assurance existing, and, after long consideration, the Board, aie satisfied that the present proposal comprehend" the most practical embodiment of that principal applicable to Fire and Marino business, The Directors arc fully alivo to tho importance of considering in the first allotment the great body of small insurers, and they have also determined, notwithstanding any pressure, upon maintaining tho cbii'j point of their proposal, viz., that tliuy will keep in hand the whole of the remaining 100,000 shares for future allotment to actus! urers upon tho dellnite and equitable iiasis above stated, which places all ranki "' insurers upon an equal footing Tho Directors have therefore calculated upon th« following results, viz. : That the method of fixing the capital will attach a large amount of business, and that tho Company will have tho sympathies of tho public as » Colonial Institution, open to all insurcii upon a mutual principle, and yet backed by large capital, security, and business. The Companies hitherto formod have fa'D uniformly successful, and the rapid, progrdl of the Colony fully warrants thu fmmati'U of a similar institution, in its Capital City, The rates and general terms of buttinuM "f the Company will be similar to whatever may be current from time to tirno, as the insured will be enabled to participate o> nearly as possible in proportion to the l'f fits derivable therefrom. It is not anticipated that any further call' will be made. Tho applications for shares will bo considered as received, and the Lists will be closed in each Province at tho discretion of the Directors. 7he Bank of New ZtalaM ii ttwc pjr/w'™ to receive applications for «Aa» - w. 679
