Guthrie and' Larnach's well-knowi Woodware Factories and their extensive Im porting Timber and Iron Business. An agreement has been entered mto witl Messrs. Guthrie and Laruach to sell to tb« Company their new Factories, together witl all their other buildings, with the entire ma chinery, plant, and stock of every descriptor at the actual net cost; the whole of the free hold and leasehold lands held by the firm al of Coasting Vessels, also at present actua ralue, the new Company taking over all cur rent agreements and uncompleted orders oi contracts. (For the purpose of these and al other valuations, the gentlemen named hereafter have been appointed b; mutual agreement between Messrs. Guthrw and Larnach and the Provisional Directors. It has also been arranged that the new Com pany shall take over the entire debts due t< the firm secured and unsecured at par, bu shall be entitled to receive on all unsecurec debts interest at the rate of 8 per cent, pe; annum from the day when stock is taken uj to the date of actual payment, and in addi fion a commission for collecting of two and ; hilipercent., Messrs. Guthrie and Larnacl guaranteeing the entire amount of the un secured debts to the Company. The prudence of this arrangement will a oaee be apparent when it is remembered tha the Company thus keeps in its own hand: the entire connection of the retiring firm and thus prevents its customers from bemj subjected to a possible outside pressure, re ceiving, moreover, a commission for the col lection of debts, which its own staff of offi cers will be able to overtake in the usua course of business, without cost to the Com pany. . . By agreement between the Provisiona Directors and Messrs. Guthrie and Larnach it has been arranged that the valuation o the freehold and leasehold lands shall b( made by Messrs. A. W. Morris, C. H. Street and Edmund Smith, accountants; the valua tion of vessels by Captain Thomson (Otagi Harbour Master), Keith Ramsay, Esq. (ship owner), and Andrew M'Kinnon, Esq. (ship owner, Port Chalmers); and that the ne cost of buildings, plant, machinery, an( stock shall be ascertained from the book; and vouchers of the retiring firm by a Com mittee of the Provisional Directors, assistec by competent accountants and experts. Four thousand of the Company's shares fully paid up, have been agreed to be allottee to Messrs. Guthrie and Larnach, as consi deration* for the Goodwill of their very re munerative business, they undertaking them selves to pay all preliminary expenses —in .l«j;«r. The timber business is most extensive, anc may fairly be said to be the largest in th« Australasian Colemes. In connection with this branch of the business, there are severa: Bush Mills, and a large fleet of coasting vessels, employed regularly in carrying supplies for the requirements of the Factories as well as open markets. The Import, Iron, and Hardware Business of the firm is also very extensive. These several branches at present represent a most valuable and important pare of the firm's trade, and the promoters feel confident that they can be most safely and profitably extended. In the New Zealand Woodware Factories there are four distinct departments, viz.: — Ist. Sawing, Planing, and Moulding Factory. 2nd. Door ;nd Sash Factory. 3rd. Tub and Bucket Factory. 4th. Furniture and Turnery Factory.
