Treasurer, Mr. W. It. Nicholson. The Company has teen established for the purpose of acquiring and working the Coal Mines lately discovered at Pakawau, in Massacre

Bay. It has been resolved that, so soon as 400 shares are subscribed for, the Company shall be deemed to be established. That in the constitution of the Company every share should confer a vote, and that no alteration should be made in the fundamental principles of the Company, unless the votes in favour of such alteration represent two-tbirds of the capital of the Company. That at meetings of shareholders all voting

should be by ballot. That shareholders residing moi-e than five miles distant from the place of meeting should be at liberty to vole by proxy, but that at ordinary meetings of shareholders no person should act as proxy for mere than two shareholders. That all the estates of the Company should be vested in trustees for the benefit of the Company such trustees to be elected in the usual manner. That in the deed of settlement of .the Company all usual and necessary clauses should be introduced to limit the liability of the shareholders to the amount of their respective shares; and further to secure this object, that application should be made as early as possible for a charier of incorporation. The Coal discovered at Pakawau has been pronounced to be of excellent quality, quite free from sulphurous aud other noxious smells, and adapted to every economical and manufacturing purpose, and the promoters of the Company conceive it to be of great importance to the interests of the settlement that it should be worked at as early a period as possible. The Company will take the earliest possible steps to obtain accurate surveys of, and reports upon, the Coal Fields, and are now in correspondence with the Government on the subject of acquiring a block of land in the district. Persons desirous of taking shares are requested to apply to the Secretary or Treasurer, or to Messrs. Hervey, Johnston, & Co., Wellington, at whose offices share lists are now opened. All persons applying for shaies are requested to pay the deposit at the same time, as no applications will be received which are not accompanied by such payment. No call will be made, or payment required beyond the deposit, until the Company has been established, and the directors have been elected. By order of the Provisional Committee, W. T.
