W ELLINGTON AND MANAWATU RAILWAY COMPANY, LTD. NOTICE TO SHAREHOLDERS. THh ORDINARY ANNUAL GENERAL MEETING.
THE Twenty-first Annual General Meeting of the Company will be held in the Hall of the Chamber of Commerce*, National Mutual Buildings, Wellington, on WEDNESDAY, the 2nd day of April, 1902, at 2.30 p.m. Business To receive Directors' Report. Statement of Receipts and Expenditure. Declaration of Dividend. Election of Directors. Election of Auditors. To comsidei , and if deemed advisable, to pas^ the following special resolution — That the following new regulations be added to the Articles of Association of the Company — If the Board of Directors in New Zealand shall desire to obtain the \ ote or oijimon of the shareholders of tho Company resident in the United Kingdom upon any matter whatsoever, -the said Board may bv Resolution direct that such matter shall be submitted for direct vote thereon by such -shareholders and by the same or any subsequent Resolution specify precisely the form of the question to be submitted. The Secietary of the Company shall either by letter or telegraph forthwith furnish the Agents with a copy of such resolution or lcsolutions. It shall be the duty of the Agents m London of the Company immediately upon receipt of such communication from the Secretary (a) To convene a meeting in London of all the shareholders resident in the United Kingdom by printed circular addressed to each such shareholder at his registered address The date and place of such meeting shall be fixed by the said London Agents and named in such circular. The date shall not be less than fourteen days after the date m which the circulars are first posted. (b) To attach to such printed circular or to print as part thereof a copy of the said lesolution or resolutions. (c) To send therewith a printed form of proxy to be signed by any shareholder who is unable to attend in person and desires to vote bv proxy. JMery pioxv paper must be signed bv the shareholder appointing and must be received by the said London Agents at least, twenty-four hours befoie the date fixed for the meeting, otherwise it shall not be acted on. One at least of the London Agents -,hall attend the meeting, and shall be Chairman thereof. The Chairman shall permit full discussion by the meeting, and shall therafter cause the question submitted bv the resolution of the New Zealand Board to be put to the meeting, and if, upon the show of hands, it appears to the Chairman that the meeting is not unanimous he shall thereupon proceed to ta,ke a poll of such shareholders as desire to vote personally or b\ duly appointed proxy Such poll shall be taken in such manner as the Chaiiman may direct. If any amendment is pronosed at such meeting, a poll may be taken upon such amendment as well as upon the oiiginal question, but in all cases the original question shall be submitted The Chairman shall send to the New Zealand Board forthwith a certificate signed b\ him setting forth the decision of the meeting and the result of the poll (if any) Such certificate shall be conclusive evidence for all purposes of the Company of the truth and accuracy of the several matters set forth therein. The opinion of the shareholders shall he deemed to be so obtained for the infoimation of the New Zealand Directors and not as requiring the said Directors t > act in accordance therewith
Where any matter shall be submitted for the direct vote of shareholders resident in the United Kingdom no proxy of an^ such shareholder who shall attend the meetdng to be convened by the London Agents, except a proxy in respect of shares upon the New Zealand Register, shall vote upon the same mattei at any meeting or poll in New Zealand, but the certificate of the Chairman of the London meeting shall be used at any meeting or poll held in New Zealand upon the same matter to record and count thereat for all purposes the votes of the shareholders resident in the Lnited Kingdom who have voted in person or bv proxy at the London meeting or poll." The Transfer Books of the Company will be Closed from TUESDAY, 18th day of March, to the 3rd day of April. Messrs. Maoarthy and Izard are the retiring Directors, and, being eligible otter themselves for re-election.
