Rirhardson, M.H.R., Homy W. Lee, Fsq. (of Mesirs Ward & Co.), W. Saunden, Fsq. (of Messrs launders and Henderson), O. W. Turner, Esq., Merohant. Solicitous : Meisrs Brandon & Son, Wellington. Gbnebal Manaobb: George Samuel Graham, now Inspector Norwich Union Insurance Society. Bankbbs : The Bank of New Zealand. Skobbtabt : For organisation (nnd subsequently agent for Canterbury), Mr Fredk. E. A. Graham. Copiei of tho Memorandum and Articles of Association can bo seen at the Office of tho Compuny. and at any of tho Branches of the Bank of New Zealnnd, whoro Forms of Application can be obtained, and deposits will be reoeived. The Directors each subscribed for £1000 ca»h (being part of ordinary capital) prior to the formation of the Company, and have undertaken its oraanisation ns a thoroughly Colonial institution, with headquarters in Wellington. One-half only of the shares will be immediately issued, and the Directors, having already apportioned a considerable number in securing a lnrne amount of important support, are prepared to place the available balance in fair proportions throughout the Ooldny with peroons whoso business or influence is calculated to be valuablo to the Com puny in tho mutual interests of all concerned. Tho Company being thus possossod of stroncr insurance support, and being able to offer the publio the guarantee of ample cash ofipitti, with thorough security,! will commence business, the whole of the remaining 100,000 shares being reserved for allotment in successive issues to aotual insurors with the Company, under the provisions of tho Irti oles of Association, in proportion .to tha insurnnoe premiums paid by them. Tho proportion of shares for issue, compared to the amount of pounds iterling of insunmco promiutni pai'<, vill be declared from timo t> timo at tho di'sorotion of the Direotors, so as to ofTcr a continuous inducement to insurers to join the Company. Several of the directors have had experience of tho great advantage of mutuality in connection with the moit successful Life Assuranoo Association existing, and, after long consideration, the Board are satisfied thnt the present proposal comprehends the moit practical embodiment, of that prinoiple applicable to Firo and Marine business The Directors ore fully alive to the importance of considering in the first allotment the great body ef small insurers, and they hare also determined, notwithstanding any pressure, upon maintaining the chief point of their propoial, viz., that they will kepp in hand the whole of the remaining 100,000 shares for future allotment to aotual insurors upon tho deflnito and equitable basil above stated, which places nil ranks of insurers upon an equal footing. The Directors have therefore calculated upon the fo lowing results, viz : Thnt the method of fixing the capital will attach a largo amount of buiiness, and that the Oompnny will have the sympathies of tho publio as a colonial institution, open to all insurers upon a mutual prinoiple, and yet backed by large capital, seourity, and business. The Compnniei hitherto formed havo been uniformly successful, «nd tho rapid progress of tho Colony fully warrants the foundation of a similar institution ir its Capital City. The rates nnd general terms of business of the Company will be similar to whatever may be current from time to time, ns the insured will be enabled to participate as nearly ns possible in proportion to tho profits derivable therefrom. It is not antioipatod tbat any further calls will be made. The applications for shares will bo considered ai received, and tho Lists will be closed in each Province at tho discretion of the Directors. ' The Bank of New Zealand is cow prepared to receive applications for shares. my 7
