Si CRBTMtY : For organisation (nnd subsequently agent for Canterbury), Mr Fredk. Y. A. Graham. Copies of tho Memorandum and Articles of Association can bo seen at the Office of the Company, and at any of the Branches of tho Bnnk of New Zealnnd, where Foim* of Application can bo obtained, and deposits will be received, Tho Directors ench subscribed for £1000 caah (being part of ordinary capital) prior to the formation of the Company, and hnre undertaken its orgnnisntion as n thoroughly Colonial institution, with headquarters in Wellington. One-half only of the shares will be immediately issued, and tho Director", having already apportioned a considerable number in securing a large amount of important support, are prepared to place the available balance in fair proportions throughout the Colony with perrons whose business or influenon is caloulnted to be valuable to the Company in the mutual interests of all concerned. The Company being thus possessed of strong insurance support, and beiiw able to offer the publio the guarantee of ample canh capital, with thorough security, will commence business, the whole of the remaining 100,000 shares being reserved for allotment in successive issues to actual insurer* with tbe Company, under the provisions of the Articles of Association, in proportion to the insurnnoe premiums paid by them. The proportion of shares lot issue, oompared to the amount of pounds sterling of !n a ur«npe premiums paid, -will be declared from time t> time nt the dtsorption of tb« Director*, •<> ns to offer a eontinnoin inducement to insurers to join the Company. Several of the directors have had experience of the great advantnee of mutuality in connection with the most successful Life Assuranoo Association existing, and, after long consideration, tbn Board are satisfied that the present proposal comprehend! the mo«t pructionl embodiment of that principle applicable to Fir* and Marine business The Direotors are fully alive, to the import nnce of considering in the fir»t ikllotment the great body «f sm»ll insurer', mid they have also determined, notwithstanding any pressure, upon maintaining the chief point of their proposal, vie., that they will keep in bnnd the wholo of the remaining 100,000 shares for future allotment to act mil insurers upon the definite nnd equitable ba»i« above stated, which places nil ranks of insurers upon an equal footing. The Direotors have therefore calculated upon the fo lowing results, viz : Tint, the method of fixing the capital will attuch a large amount of business, and that the Company will have the sympathies of tho publio as a colonial institution, open to all insurers upon a mutual princ-pln, and yet backed by large capital, security, and business. Tho Compnnic* hitherto formed have been unifoimly eueressfu', nnd the rapid progress of tho Colony fully warrants tho foundation of n similar institution in its Capital Citr. Tho rates and general terms of bti<incs* of the Company will ha similar to whatever may be current from timo to timo, as the insured will be enabled to participate ns nearly ns possible in proportion to the profits dorivable therefrom. It is uot anticipated tbnt any fuither calls will be made. The applications for shares will be considered as received, imd the I.isM will be olo'od in each Province nt tho discretion of the Directors. The Bank of New Zenland is row prepared to receive applications for shares. mv 7
