Copies of the Memorandum anrl Article* of Association enn bo seen nt the Office of the Company, and at any of »ho "Branches of tho Bank of New Zealand, where Forms of Application oan bo obtained, and deposit! will be rcoeived. The Directors enoh subscribed for £1000 rash (being part of ordinary capital) prior to tho formation of the Company, and have undertaken its oraanisation as a thoroughly Colonial institution, with headquarters in Wellington. Onolmlf only of the shares will be immediately issued,' and the Director?, having already apportioned a considerable number in securing a largo a.m<umt of important support, nro prepared to plnco the available bnlanco in fair proportions throughout »ho Colony with persons whose busisies* or influence is oaleuIntod to bo valuable to tho Compnny in tho mutual interests of nil concerned. The Company being thus possessed of strontr insurance support, and being ablo to offor the publio the guarantee of ample cash capital, with thorough security, will oommenco business, the wholo of the remaining 100,000 shares being reserved for allotment in successive issues to actual insurer* with tho Company, under tho provision* of the \rticles of Association, in proportion to tho in-, surance premiums paid by them. The proportion of shares for issue, oompared to the amount of pounds sterling of insurance premiutru paid, will be declared from time to time at the discretion of the Directors, so as to offer n continuous inducement to insurers to join the Company. Several of the dirooton have had experience of tho great advantage of mutuality in Connection with the most successful Life Assooiation Assurance existing, and, after long consideration, tho Board are satisfied that the present proposal comprehonds the most practical embodiment of that principle applicable to "Fire ond Marine business Tho Directors are fully ali<re to the importance of oonstdoring in tho first allotment the great body «f simll insurors, nnd they have also determined, notwithstanding any pressure, upon maintaining the ohicf point of thei* proposal, viz., that they will keep in hand the whole of the remaining 100,000 shares for future allotmont to actual insurers xipon tho definito and equitable basis above stated, which places nil ranks of insurers upon an equal footing. The Directors havo therefore calculated upon tho fo lowing results, viz : Tint, the method of fixing tho cnpit.il will itttuch a large amount of business, and that the Company will have the sympnthio* of the publio as a colonial institution, opon to all insurers upon a mutual principle, and yet bnckod by l»rgo capital, security, and bu«ii)o»s. The Companies hitherto formed have been uniformly suoceuful, and the rapid progress of tho Colony fully warrants tho foundation of a similar 'institution in its Capital City. The rates and genoral torms of businesi of tho f'ompuny will be nimilar to whatever may to current from timo to timo, as the insured will bo mablcd to participate as nearly ns posMblo in proportion to the profit! derivable therefrom. It is not anticipated tbtt any further culls will bo made. Tln> applications for shares will be considered iw received, and the Lists will bo closed in eßoh Prof inco nt tho disoretion ol tho Directors.
