Capital £10,000. In 2,000 Shares of £5 each, of which 1,000 Shares are disposed of in the terms of the Prospectus, leaving 1,000 Shares now offered for subscription . £1 payable on application, £1 on allotment, and the remainder in three calls of £1 per Share, such calls to be made at intervals not exceeding four months nor less than one month. IT is proposed to form a Company for working the Reefs discovered on Cape Jackson, in the Province of Marlborough, and recently prospected with very favorable results. The property consists of a Lease of 16_ Acres of Land granted under the Mining Le_se Regulations for a term of 15 years. The Reefs occur between soft sandstone and slate, affording great facility for extraction. Considerable work has been done by the Prospectors, viz.: Two shafts have been sunk, one 23 feet and the other 85 feet in depth. In the latter, at the depth of 55 feet, a cross cut has been driven for 52 feet, cutting three distinct bodies of quartz, all of them gold-bearing. On the course of No. 1 a drive has been made 30 feet in length, and it has b.en proved by the tests applied that the j ield will average 2_ oz. of gold to the ton of stone ; and where it has also been driven on for a distance of 35 feet, at the 85 feet level, gold is freely to be seen in the stone. No timbering has yet been required. Since the above work was concluded, the Prospectors have succeeded in discovering on the property another and distinct Reef, which has been opened out at short intervals for a distance of say 1,000 feet. The stone is thickly impregnated with gold, and has been estimated by competent j udges to yield at least 7 oz. to the ton. At about 60 feet from the last-named reef another occurs, which is gold bearing, but which has uot been prospected. The bearings of each of the above are the same, the course being N.W. and S.E. The Proprietors propo.e to part with their interest for 1,000 fully paid-up Shares, and £600 in money — £300 to be paid on completion of the purchase, and £300 out of tbe first nett profits of the Mine. The Prospectors bind themselves not to sell any of their Shares before six months after the formation of the Company. The permanent Board of Directors shall consist of eight members, three of whom the Prospectors reserve to themselves the right to nominate, and this proportion, under all circumstances, to maintain All preliminary expenses, such as printing prospectus, advertising, &_., shall be defrayed by tho Company. On two-thirds of the Shares being applied for, a meeting will be called, a Deed of Association submitted for approval and signature, and Permanent Directors appointed. Application for Shar.s must be • accompanied by a deposit of One Pound per Share. In cases where no allotment is made, the deposit will be returned without any deduction; and where an allotment is made of an amount smaller than that applied for, the surplus of deposit will be applied towards the amount payable on allotment. Applicants desiring to pay up in full will have priority in the allotment. Specimens on view at the Bank of New Zealand, Blenheim, and Clark's Hotel, Picton.
