(With power to add to their number.) Bankers : Bank of New South Wales. Legal Manager : Mr. R. Preston Bain. Solicitor : Mr. C. Y. Fell. Brokers : Messrs. Curtis Brothers. Registered Office: Hardy-street (Oppositk Union Bank of Australia), Nelson. The property of the proposed Company consists of a Prospector's claim (420 feet along the line of reef by 300 feet in width), known as " Doran's," situated on a spur between Blue and Nuggety Creeks, at Wangapeka, and entirely apart from the ground at present in dispute. The reef has been laid bare and proved at a point about the centre of the claim, and is found to be five feet thick, and the gold contained therein is very fine, but appears to be evenly distributed through the stone. Mr. Burnett, a gentleman well known in the province, was requested to proceed to the reef for the purpose of exploring it and obtaining 10 cwt. of quartz ; this he did, and having seen the quartz placed in sealed bags for transmission to Nelson, he afterwards made a formal report, which may be read in the Nelson Examiner of the 10th of August, or at the office of the Legal Manager. On the sth of August, 2J cwt. of the stone brought down under Mr. Burnett's direction was crushed in Nelson, in the presence of two of the Provisional Directors, and yielded 5 dwts. of retorted gold. On the 12th of August, a second crushing of 2i cwt. of the same stone was made, under the same supervision, the proceeds of which still in the quicksilver were transmitted in a sealed jar to Dr. Hector, at Wellington, who reported the result of his analysis as follows : — " Analysis complete : total gold in mercury, 5 dwts. logrs." —equivalent to 2\ ozs, per ton. Several other tests had been previously made, which showed a singular uniformity of results, none of them yielding less than at the rate of 2 ozs tn the ton. From the nature of the ground in and around the claim, drives can be rut in at almost any level, whereby the workings can be drained without the expense of shafts or machinery for pumping, and an unlimited supply of water can be obtained from Nuggety Creek for driving the battery, &c. The Prospectors agree to transfer the whole of their right, title, and interest in this claim, on the following conditions : — That they receive two hundred and fifty pounds (£250) sterling as soon as the one-half of the subscribing shares are allotted : a further sum of two hundred and fifty pounds (£250) sterling when tlie Company is registered or deemed to be floated; and a third sum amouuting to five hundred pounds (£500) sterling when there shall have accrued from the working of the mine, and the gold produced, clear of all working expenses, profits to the amount of three thousand pounds (£3,000) sterling available for dividends. Tbat they also have alloted to them four hundred (400) shares out of the two thousand (2,000) shares of which the Company is to consist, such four hundred C400) shares to be deemed to have paid all demands upon them in respect of subscribing towards the nominal capital of the Company, i e., they shall be deemed to be paid-up shares in the Company. The Prospectors have agreed not to sell f.ny of thier paid-up shares below par for a period of six months after the formation of the Company. All preliminary expenses such as advertising, printing, brokerage, and other expenses connected with the formation of the Company, will be charged to the capital of the Compan*. ■. All profits of the Compan;, are to be divided in proportion to the number of shares, and the working expenses will be divided and borne in like proportion. It is proposed to commence operations as soon as eight hundred (800) shares have been applied for, or sooner, should the Directors deem it advisable. The Provisional Directors will remain in office during the first six months from and after the registration or floating of the Company, unless any of them should wish to retire, when the vacancy or vacancies wili be supplied by votes of the remaining Directors. Permanent Directors will be elected at the first half-yearly meeting. Application for shares to be made to Messrs. Curtis Brothers, Brokers to the Company. 1635 J
