The Prospectors having purchased from the Government sixteen acres of land at Wangapeka, between Blue Creek and Nuggety Creek, in the District of Wangapeka, Province of Nelson, the Directors have entered into an agreement with them for the purchase of all their interest in the same, and in their right to work the minerals therein contained, together with all their interest in water -rights and site for machinery. The Capital of the Company to consist of 2000 shares of £10 per share ; the shares to be rendered in scrip of £1 each. The Prospectors to receive 800 shares paid up in full. If the 1,200 shares should be taken up, the Prospectors will be entitled to £2,0 0 ; £500 cash, and the remainder within four months. The sum of 255. per share (that is 2s. 6d. per scrip), will be payable on application, and one month's notice, at least will be given of any future calls ; each such call in no case to exceed 2s. 6d. per scrip. All profits of the Company are to be divided in proportion to the number of shares ; and the working expenses and other expenses incidental thereto, arc to be divided, and borne in like proportion. The Reef, where exposed, is from two to three feet in thickness, a quantity of very rich specimens having been taken from it. As a proof of the confidence which the Prospectors have in the Reef, they have entered into a written agreement with the Directors to conrribute one-sixth of the capital required for establishing the Company, and for providing the necessary machinery ; and have further agreed not io sell any "of their paid-up shares at less than par ■within nine months from the date of commencement of working of the Mine ; and they have also agreed, in the event of their wishing to part with their interest, or any part thereof, in the Mine, to give the Company the refusal of the same previous to selling privately. It is the intention of the Company to commence the working of the Mine immediately the 1,200 shares now for sale are applied for ; or sooner, should the Directors deem it advisable. Should the Company not be formed ia six months, the Prospectors are at liberty to terminate their agreement. FORM OF APPLICATION FOR SHARES.
