To the Editor of the Lyttellon Times. Sib, —As Mr. Jacobs publicly denies the irregularity of the proceedings of the Trustees in passing the Bye-laws, it is perhaps desirable to make public in what we consider the irregularity to consist. At a meeting*, of which no public notice had been given, a Committee was appointed to prepare a draft of Bye-laws. I received an intimation in tho afternoon of the following day that I was appointed a member of the Committee, and that the first meeting would take place that evening at 7 o'clock. Not having a horse waiting ready saddled and bridled, I was, of course, unable to attend ; of the subsequent meetings of the Committee I received no notice, and knew nothing. During one of the short mid-day adjournments of the Supreme Court, Mr. Hall (I presume also a member, of the Committee) shewed me the draft of the proposed Bye-laws, and requested my immediate opinion. I then protested energetically against the proposed apportionment of Trustees; he took away the manuscript, and I knew no more about it until your paper announced the Bye-laws as passed. On every other occasion, both here and in England, on which I have been on a Subcommittee to draw up rules or Bye laws, every member signed his name to the draft copy before presentation to the general board for confirmation. This I was not even asked to do. I may add that I first became aware of another Lyttelton member being on the Committee on reading Mr. Jacobs'letter. I am, Sir, your obedient servant, Wai. Donald.
