ISSUE OF SHARES BY THE NORTH AUCKLAND CO-OPERATIVE LIME COMPANY LIMITED. Incorporated under '"The Companies Act, 1908," with a Capital of 10,000 shares of £1 each. EASY TERMS OF PURCHASE. Two Shillings per Share on Application Two Shillings per Share on Allotment and the balance in instalments of not more than Two Shillings per Share at intervals of not less than three months. The Minimum Subscription upon which the Directors may proceed to allotment is 2500 Ordinary Shares. The Articles of Association provide that :— The shares shall be under the control of the Directors who may allot or otherwise dispose of the shares whether original or new to such persons on such terms and conditions in accordance with these Articles and at such times as the Directors think fit provided that no person shall b» permitted to hold fewer than ten ordinary shares nor more than two hundred ordinary shares. The nett profits of the Company made during the year shall be applied as follows : —• (1) In payment of interest on all capital for the time being paid-up on the preference shares for the time being issued at the rate or rates which such preference shares are respectively declared to carry. (2) In payment of interest at the rate of six pounds per centum per annum on each complete ten pounds of share capital paid to the Company in respect of ordinary shares of the Company, such interest shall be computed on each complete ten pounds of share capital paid from the first day of the Company's financial year following the date of payment of each complete ten pounds of share capital. (3) In creating and augmenting a reserve fund as provided by Clause eleven of the Articles of Association. (4) In payment of a rebate to the shareholders in respect of lime and cement purchased by them. Payment of interest shall be a first charge against the profits of the Company. The Directors after payment of interest as aforesaid with the sanction of the Company in general meeting set aside out of the profits of the Company from time to time a sum of money as a reserve fund, to meet contingencies or for the repairing or maintaining any plant or works from time to time connected with the business of the Company or any part thereof or for a building fund or to replace wasting assets of the Company, or as an insurance fund or for any other purpose connected with the business of the Company, and may invest the sums so set apart from time to time by employing it in the business of the Company or upon such securities as the Directors may think fit and may apply the income arising from such funds and may use the capital thereof for all or any of the purposes aforesaid or for whatever other purpose the profits of the Company may be used. The Directors shall after payment of interest as aforesaid, and after setting aside such sum as a reserve fund as may have been sanctioned as aforesaid apply the whole remaining net profits of Ihe Company in the payment to the shareholders of the Company of a rebate in proportion to the value of the lime and cement purchased by the shareholders individually from the Company in accordance with the regulations and by-laws of the Company as shown by the Company's books during the preceding year. !
