EIGHTH ANNUAL MEETING.

The eighth annual meeting of the above company was. held in the Agricultural Vall^Helensville, on Thursday last, July fflti at 12.30 p.m. _ The following directors were present: Messrs C. Thomson (chairman), .las. Drinnan, ft. O. Gross, J as . Hand, J. Hudson, H. P. McLeod, E. R. Monk, J. C. Rimmer, N. W. Rimmer, and J. Sidwell. About sixty other shareholders also attended. —Annual Report.— The chairman briefly reviewed the operatiuns. The annual r epO rt states:— The account for the year 1917-18 is not yet closed, a further payment being due from the Government. When this is received a final payment will be made and a detailed account circulated to suppliers. Ine season just ended showed a considerable increase in the Company's operations up to the end of January, but the rdry autumn reduced cream supplies to such an extent that the total output was only 378 tons 18 cwt. of butter, 23 tons less than the previous season. The exportable output was taken by the Imperial Government at 181s per cwt., and the price fixed for sales in New Zealand wa» Is 5d per lb. Payments received to date make the average price for the ■ butter sold slightly less than Is 6^d lb. . The following payments have been made for butter-fat received: For June and July, 1918, Is 3d, made up to Is 7H6. by a progress payment made in April, 1919. For August, 1918, ! Is 3d, made up to Is 5d by a progress payment made in April, 1919. For September, 1918, to January, 1919, Is 3d per lb., made up to Is 5d by a progress payment made in March, 1919. For February to May, 1919, Is 5d per lb. An additional Hd per lb. was made from March Ist onward on all butter-fat from cream graded at 92 points and over. Comparing the 1918-19 season with the previous '17-18 one, the annual summary ■hows an increase inthe number of suppliers from 257 to 272, but for the same periods the decrease in the quantity of j cream received during last season was 72,527 lbs., attributable to the dry autumn before mentioned. The total cream received was : 1917-18, 1-911,735 lbs ; 1918----19,1,839,208 lbs. The chairman moved the adoption of the report and balance-sheet. Information respecting fuel charge and railage on cream, required by a Woodhill ! supplier, was furnished by the chairman. Mr J. H. Hudson seconded the motion, which was carried. —Auditor.— On the motion of Mr Stevens, seconded by Mr Ellett, and after a short discussion, the re-appointment «f Mr E. G. Pinker as auditor at a fee of £26 5s was decided upon. —Cream Cartage and Railage.— The chairman moved : (1) That all railage on cream received be paid by the Company, except in cases where less than 15 lbs. is sent in at one time; (2) That districts arrange their own cartage and pay for same, as at present; (3) That all previous resolutions regarding railage and cartage be rescinded.—Mr N. W. Rimmer seconded. Mr Stevens opposed the motion. Mr Jas. McLeod 'moved the following clause as an addition to the motion : That on cream sent in by boat a subsidy be paid equal to cost of railage.—Mr Hudson seconded, and the clause was agreed to. Mr Stevens moved as an amendment: That the matter be left for the directors to arrange. —Mr Shanks seconded. The amendment on being put to the meeting was lost. The motion, vrth the added clause, was then put and carried. It was further proposed by Mr Wilson, seconded by Mr Stevens: That it be a recommendation to the directors to pay ■ all carriage, including cartage, on cream from main roads nearest to suppliers. This motion was lost. —Remuneration of Chairman. — A lengthy letter, circulated by Mr Jno. Grey to every supplier, was the subject of some discussion. Mr Grey moved: That th» chairman receive a salary of £100 per annum, and half of the commissions earned by him in the service of the company.—The mover explained his system of remuneration in detail. —Mr A. McLeod , seconded the motion. On behalf of the Wellsford district suppliers, Mr N. W. Rimmer moved, and Mr Campbell seconded, as an amend- ' ment: That the chairman of directors be paid 10s per day (under Articles of Association) and guaranteed a bonus of £50 per annum. He to devote the whole of his time to the interests of the company. —The amendment was voted on, but as the votes recorded for and against were nearly equal, the chairman made no declaration. Mr Grey requested permission to witkdfaw his motion, owing to the small number of shareholders present.—This was agreed to. A further motion by Mr Snelling, seconded by Mr A. S. McLeod, was: That the chairman's remuneration remain as a^kesent. *^|S^>,amendment, moved by Mr Monk, seconded by Mr J, C. Rimmer ; That the salary be left to the directors' decision. —Lost. An amendment was moved by Mr J. Grey: That the matter be referred to a committee of three directors and three • suppliers, appointed by the meeting.—Mr B. Hendl seconded. This was also lost. Mr Snelling's motion was carried, —Dairy Materials on Railways,— ■ A motion by Mr D f L- McLegd, seGonxU ed by Mr Hudson, was as follows: That requisites and materials for dairy factories should be ranked as essential goods by the Railway Department, ?nd be given preference in carriage ; that copies of this resolution be forwarded to the Minister and General Manager of Railways, and to the Minister of Munitions. —Carried.
