Mr B. E. Deacon occupied the chair. The chairman explained that it was proposed to float the company by shores o:: XSO each, but that it would be open to these who did not think it advisable to take a full share to club together and say five to take up one share, one of such five to act as the representative of the whole in voting at any meetings of. the company. At present between £3OO and £4OO was lyinj; in the Bank in hia (the chairman’s) name which belonged to the company, and £1450 had already been subscribed. It was estimated that the land to bo purchased for the purposes of a Plumpton Ground, inclusive of laying out, planting and fencing same, would cost £2200. Articles of association had been drafted, which he would ask Mr W. Q. Walker to read. Mr W. G. Walker asked if reading the articles of association would bind any of those present to any course of action. Bor his part he thought the consideration and arrangement cf matters of detail should be referred to a sub committee. And further, he thought £SO shares were too high, and would preclude many from joining the company. The chairman replied that the present meeting would not be bound to the article* of association by merely listening to them. Mr T. Aoland asked if share* could not lie issued by coupons. Say if five or ten coupons wore issued for each sharenot taken up in its entirety cr by one person. This course he thought would meet Mr Walker’s objection. As to the articles of association, perhaps it would be better to relegate their consideration to a emal* committee. In reply to a question, the chairman ntatod that two blocks of land had been offered for a Piurapton ground, both situated near the Eolloston railway station, the one containing 200 and the other 220 acres. Mr Banger said he had also land which he would cell the company, ranging in area from 100 to 250 acres, which was also close to the Eolleaton railway station, and possessed the advantage of being very level, and already laid down to gross. The articles of association v- ere then read, and the question of director!)’ qualification haring arisen therefrom, after a desultory conversation, it was resolved —“That the recognised representative of a £SO share shall have equal right with any bona fide £SO shareholder, to be elected on the directorate of the company.” It was also agreed that the number of directors shall not exceed five, three to form a quorum. The chairman then called for tho nomination of candidates for tho directorate, and a ballot resulted in Messrs 3. Manning, E. Cookaon, B. E. Deacon, A. G. Saunders, and W. G. Walker being ! elected. It was agreed that no time bs lost in securing one of the sites offered, so that the work of planting, &c., may bo proceeded with at cnce ; and that a further meeting of shareholders ba held on Monday next, at the saao hoar and place. Tho meeting then adjourned.
