TN consequence of the large increase in the business of the Company, and with a view of further extending their operations, _ the Directors have resolved to provide additional capital by the issue of further Shareß. The Directors are influenced in this determination by (amongst others) the following reasons, viz. : I. The necessity of large additions to the buildings on the premises of the Company, to keep pace with the business, which has increased beyond their expectations. 11. The provision of sufficient capital to adequately carry on the Malting business, about to be taken over by the Company, which has for many years been so profitably worked by Mr Thomas Ed wards. 111. To give increased accommodation to trade connections, hotel keepers, and others, with a view to providing an ontlet for the products of the Company. The high character which the products of the Company have acquired in the trade and elsewhere is well known and appreciated, andis shown more particularly by _ the large_ increase of the free trade in competition with breweries of old standing. The Directors may state that they have secured the services of their present brewer for a term of years. The directors would draw the attention of those interested in the trade to the fact that in connection with the introduction of fresh capital the business may be made far more permanently profitable by inclnding in the proprietary a number cf hotelkeepers and the general public, all of whom will have an interest in promoting directly and indirectly the prosperity of the concern. The property of the Company consists of the Brewery Premises (freehold), comprising npwards of three-quarters of an acre (situate on the South Town Belt at the corner of Windmill road, with a long frontage on the Belt and ad joining Railway reserve) on which are erected Brewery, Two Cellar?, Malt House, Offices, Dwelling-house, Bottling Stores, Stables, Ac, together with the Plant (which is quite new, in perfect order, and capable of producing 4000 hhds per annnm), Stock-in-Trade, and the goodwill and trade name of the Company valued at £ 12,000, besides book debts, mortgages on hotel properties, Ac, &c, As some guide to the amountof business transacted by the Company it may be stated that there are now on the books the names of 1100 customers at leißt, many of whom draw no other ale or porter. The trade of the Company during the last twelve months has doubled itself, being now equal to 1600 hhds. per annum, and it is confidently anticipated that with theaid of further capital the business will continue _ to largely inerease, and inasmuch as the working expenses would be about the same with double the present trade, the desirability of additional 1 capital can be easily seen. The profits from the . malting business will also be considerable. The , malthouse is capable of turning out 12,000 bushels a year. The present capital of the Company stands as follows : 60 shares fully paid up ... .£6OO 510 shares paid up to £7 each 3780 In order to give increased stability to the Company, the holders of shares partly paid-up have arranged to surrender their 540 shares, standing at £7 paid-np, in exchange for 1260 shares paid-up to £3 each, which gives them only an equivalent amount of paid-up capital with the additional advantage to the Company of a largely increased liability of the present shareholders for uncalled capital, thus showing their thorough confidence in the profitable nature of the business. The number of shares now being issued is 3380, which will stand on an equal footing with the present shares. The amounts payable on the new issue will he as follows—viz., .£1 on application, -£l on allotment, jEI at three months from date of allotment. Beyond this amount of -£3 per share no farther call is at present anticipated, as the capital thus raised will place the Company in a position to avail itself of additional and steady business as eligible opportunities arise. The capital will then stand as follows : £ 60 Shares, fully paid np 600 1260 Shareß, old issue, paid up to £3 3780 3580 Shares, new issue, paid up to .£3 11,040 If no allotment be made, the deposit will be returned without dednotion ; and if a less number be allotted than applied for, the surplns portion of the deposit will go in reduction of the amonnt to be paid on allotment.
