NOTICE, AMENDMENT OF REGULATIONS AN Extraordinary General Meeting of the Gisborne Sheepfarmers’ Frozen Meat Company, Limited, will beheld at the Offices of the Company, at Gisborne, on SATURDAY, the 24th February, 1906, at 10.30 a.m., to confirm the following special resolutions duly passed at an Extraordinary General Meeting held on Saturday, the 27th January, 19061RATE OF DIVIDEND. 1. That the maximum rate of Dividend which may be paid in any one year to Shareholders be raised to 6 per cent., and that Artiole 84 be amended to reßd: “The. Directors may from time time with the sanction of the Company in Geueral Mooting declare or pay a dividend to the fharebolders, not bs'.ng m re than at the rate of 6 per cent, per annum.”

EXTRAORDINARY GENERAL MEETINGS.

That Articles NO3. 37, 38, and 39 be repealed, and -hat the following pro-, visions be adopted as Articles of the Company in lieu thereof: (a) Tbe Directors may, whenever they think ft, convene an Fx'raordintry General Meeting. (b) The Directors shall, on the requisition ot the holders of shares representing not less than one-tenth of the issued Capital of the Company, upon which'all ca'la or other sums then due have boi n paid, forthwith prooeed to convene an Extrordinary General Meeting of the Company. (o) The requisition shall state the objects of tbe Meeting, and be s'gned by the requisitionists and deposited at the Offioe of the Company, and may consist of several documents in like form, each signed by one or more requisitionists, (d) If the Directors of the Company do not proce-d to oause a meeting to be held within twenty-one days from tbe date of the requisition being so deposited, the requisitionists. or a majority in value of them, may themselves convene the meeting, provided that the meeting bo convened shall be held within three months from the date of such deposit. (e) If at any such meeting a resolution requiring confirmation at another meeting is passed, tbe Director-i shall forthwith eonveue a further Extraord'nary General Meeting for the of considering the resolution, and if thought fit, of confirming it aB a fpecial Eesolution; and if the Directors do not ronvene suoh further meetir g'within seven days from the date of tbe passing of tho first Eesolution the rcquisitionisti, or a majorily in value of them, may themselves convene the meeting.
