NOTICE. AMENDMENT OF REGULATIONS a! N Extraordinary General Meeting ol jSI the Gisborne Sheepfaimers’ Frozen Meat Cjmpany, Limited, will be held at the Offices of the Company, at Gisborne, on SATURDAY, January 27tn, 1900, at 10.80 a m., to consider the fol'owiog fpeoial Resolutions RATE OF DIVIDEND. 1, That the maximum rate of Dividend which may be pa d in any one year to Shareholders be raised to 6 per cent., and that Article 84 be amended to read : “ The Directors may from time to time, with the sanciion of the Company in General Meeting, drclare or p»y a Dividend to the fchart-holders, not being more than at the rate of 6 per cent, per annum.” EXTRAORDINARY GENERAL MEETINGS. 2. That Articles Nos 37, 38, and 39 be repealed, and that the following provisions be adopted as Art'cles of the Company in lieu there of: (a) The Directors may, whenever they think fit, convene an extraordinary General Meeting. (b) The Directors shall, on the requisition of the holders of Shares representing not les3 thin one tenth tf the issued Capitals! the Company, upon which all cal's or other sims then due ha - e been paid, fo thwith proceed ti convene an Extrao dinary General Meeting of the fompiny. (c) The requisition shall state the object 8 oi the meeting, and bo signed by the requisili nists and deposilel at the Office of the Company, and may consist of several documents in like form, eaoh signed by ooe or more requisitionists. (d) If the Directors of the Company do I not proceed to cause a meeting to be held within t'weniy one days from the date of the requisition being so deposited, the requisitions ts, or a majority in value of them, may themselves convene the m'eling, provided that the mooting so convened shall be held within three months from the data of suoh deposit. (n) If at any such meeting a r- solution requiring confirmation at another meeting is passed, the Direotors shall forthwith convene a further Extraordinary General Meeting for the purpose of considering the resolution, and if thought fit, of confirmin r it as a Special Resolution; and, if tbe P'r ctors do not oonvene such further meeting within seven daya from the date of the passing of the first resolution, the requ'sitionists, or a majority in value of them, may themselves convene the meeting.
