The Association has been formed for the purpose acquiring the old established and successful Gene Business of Messrs Joseph Nathan & Co. at P merston North, in the Manawatu District, and the after to carry on a General Business on the Co-opei tive principle, under which Shareholders and Custo ers of the Association will share in the profi — according to methods to be determined from time "" time by the Directors, and for the Other purpo! mentioned n the Memorandum of Association. An association of this nature requires, in thech centres, commodious business premises replete w facilities for economically and expeditiously carryi on the distributing trade. Experienced managers, with a thorough knowled of local requirements, are indispensible for the effi ent conduct of the business, and for keeping go saleable clean stocks. . It is necessary to know in what markets, at wf seasons, and in what quantities to buy their requi: merits. It is of even greater importance to know, ho where and when to export pr otherwise dispose of t produce to the best advantage. But the real diffic tics of all such institutions is the beginning ; for th must have capital at command, and- have such fina cial arrangements, not only in the Colony, but in t various markets of the world, as will inspire t utmost confidence, to enable it tobuild up a first-ch credit and good name, and thus transact business rock bottom limits. The profits of the Association after payment of « penses will belong to and be distributed amongst t Shareholders. It is at present proposed after payme to Shareholders of a dividend of 7 per cent up amount of paid up capital to divide part of the balar of the profits amongst the Shareholders, according the amount of business done by each, and a bonus Employees, and to carry part to a Reserve Fund 1 the equalisation of dividends, and for the distil object of starting or investing in such local industr: in the district as will prove conducive to the welfc of the Shareholders, employ labour, and promote t wealth and prosperity of the district. The Assoc tion will, wherever sufficient inducement is offered settlers and others, and subject to the consent of t Shareholders, endeavour to ally itself or amalgam! with similar institutions, and thus, by sharing t cost of management and conduct of business, redv expenses and enlarge its sphere of usefulness. This is far from being a speculative concern. T business of the vendors has been carried on succei fully foryears, and the promoters have such confiden in the future of the Association that they are prepan so long as they have fair representation on the Boa of Management under the control of Mr Cohen, o guarantee that the dividend for the next two ye< shall not be less than 6 per cent. It should be plainly understood that the promott do not desire now nor in the future to take out thi capital, but to carry on the business on the new lin with Mr Cohen at the head of affairs, assisted by the present staff, many of whom have been known you for years. Disinterested experts will be employed to cert that stocks have been taken at absolute cost, and bad or old stock has been reduced to the market val or taken away altogether. Book Debts taken over are guaranteed against 1c by the Vendors. The following contract has been made, namely ; A contract between Messrs Joseph Nathan & Co. a the Association. Applications for Shares should be made upon t form accompanying the Prospectus, and forwarded the Bankers of the Association, together with t amount payable on application. If no allotment made the deposit will be returned without deductic and where the number of Shares allotted is less th 11 the numher applied for, surplus will be credited in 1 duction of the amount payable on allotment. A form of Application for Shares is annexed, anc copy of Memorandum of Association will be fou endorsed on the prospectus. A copy of Articles of Association and of the contr; above-mentioned, may be inspected at the office of t Association. Dated this zyth day of August, 1892.
