SPECIAL MEETING OF MEMBERS. •fTTFTTCRTOAS more than twenty-five iVV members of the Australian Mutual Provident Society (whose names are set forth below) each of whom is assured tor not less than £lOO have by written requisition addressed to me required me to convene: — (a) A Special Meeting of the Society to consider, and, if thought fit, to pass, one or both of the following resolutions, namely:— (1) That by-law 45 (b) be amended by deleting the word “twenty” in the last line thereof, and by substituting therefor the word “five.” (2) That a sub-committee be appointed for the purpose of considering and reporting on a system of voting for Directors, which will preserve as far as possible the rights of minorities in the ballot for Directors, either by some system ot preferential voting or otherwise, and also to advise on the best system of maintaining secrecy of the ballot. (b) If necessary a further meeting for finally passing or confirming the firstmentioned resolution if it be passed at the first meeting. Cleary And whereas the Board has ordered that at such Special Meeting the business thereof shall include the consideration and, if thought fit, the passing of the following resolution: — WAT by-law 36 be amended by omitting the words “of not less than twentyfive members each of whom must be assured for not less than one hundred pounds” and substituting therefor the following words and figures:— “by members entitled in the aggregate to not less than five thousand votes in accordance with the scale of voting set forth in by-law 45.” Now I, Charles Mountside Martin, Secretary of the said Australian Mutual Provident Society, do therefore pursuant to by-laws 36 and 37 of the Society’s By- • laws call and convene a Special Meeting ' of the Australian Mutual Provident Society to be held at the office of the Society, 87 Pitt Street, Sydney, New South Wales, on Friday, the first day of February, 1935, at 2 p.m. to consider and, if thought fit, to pass the resolutions set forth above or any of them. And I further give notice that if any of the said resolutions being an amendment of the By-laws of the Society be ■ passed by the requisite majority of the I said meeting a confirmatory meeting will be held at the Society’s said office on Friday, the twenty-second day of February, 1935, at 2 p.m., for the purpose of finally passing such of the said resolui tibns being nn amendment of the By- | laws of the Society as has been approved i by the requisite majority at the meeting to be held on the said first day of Feb- ’ ruary, 1935. For the information of members of the I Society the following by-laws are here set . forth:— BY-LAW 36: Special Meetings for determining any matters relative to the business of the Society, the amendment of its By-laws, or for any other purpose compatible with the objects authorised in the “Australian Mutual Provident Soi ciety’s Act, 1910,” or in connection with I its affairs, shall be called by the Secretary, by order of the Board, or on written requisition addressed to him of not less than twenty-five members, each of whom must be assured for not less than one hundred pounds; and notice of such ’ last-mentioned meeting shall be given I within fourteen days from the receipt by ; him of such requisition, and for. a date within eighty days of such receipt. If such notice shall not be given within such ' fourteen days it shall be lawful for the , members signing such requisition of their authority to call a Special General Meeting for the consideration of the matters , relating to the Society which were set forth in such requisition; the meeting to be held at the office of the Society or some other convenient place in Sydney. BY-LAW 45: (a) On all questions to be determined by a show of hands each member shall have only one vote, except that in the case of an equality of votes the Chairman shall have a casting vote, ih addition to the vote to which he may be entitled as a member. (b) A ballot may be demanded at any meeting on any question (except that of an adjournment of a meeting) by twenty-five members present in person when the voting shall be according to the following scale: That is to say, every member, not being a minor, shall have one vote for each aggregate £lOO of assurance or endowment, and one vote for each aggregate £5 of annuity, under any policy or policies registered in the books of the Society in his name, but no member shall have more than twenty votes in all (c) When two or more persons are members by virtue of any policy, the member whose name appears first in the policy or in any assignment thereof (as the ease may be) if present or if not present, then the next in succession being present shall be the person entitled to vote in respect of such policy. (d) Any member by a writing signed by himself shall have power to appoint any other member as his proxy to vote on his behalf at any meeting specified in such writing, or at any adjournment thereof; but if two or more proxies shall T>e offered, signed by the same person, all shall be void unless the last, expressly revokes all the others. The instrument appointing any proxy shall be deposited at such office as the Board may determine not less than forty-eight hours before the time for holding the meeting at which the proxy named in such instrument proposes to vote.
