The present demand for artificial manures places «»i? < ? m P any a to dispose of two-thirds of thalr manufactured produots at the outset, with- , out allowing for increased demands caused by reduced prices, and by more , land being opened up. t The proposed plant, embracing all the latest automatic devices and patents, reduces manufacturing costs to a minimum, placing the Company in a position to compete with, existing industries or any imported goods. The minimum subscription has been fixed at 20,000 £5 shares, upon which the Directors may proceed to allotment. ' The Vendors, to show their, confidence, ack no cash whatever, accepting payment In fully paid-up shares, and are in cash a Director's qualification. The shares subscribed for in the Memorandum of Association aro all contributing shares. Each of the signatories to the Memorandum of Association may, prior to allotment, increase the . number of shares subscribed for in the Memorandum. No consideration of any kind has been given or promised, or will be givon or premised by the promoters to any person to induce him to become a Shareholder or Director. . No application for lees than two shares will ba accepted. A holder of etock will be entitled to one , vote for every £10 worth of stock or fraction thereof up to'a maximum of 100 votes for any one shareholder. The preliminary expenses of and incidental to tie formation and establishment of the Company, and until the Company shall be entitled to commence business (exclusive of brokerage at 2i.'per cent, on subscription procured) are estimated to amount to. not more than £1,250, and will be borne by the Company. The qualification of a Director shall be the holding of' twenty shares (or 6tock) of the Company, of the nominal value of £100. The future remuneration, of the/Directors, and their remuneration for services performed previously to the first General Meeting, shall be determined by the Company in General Meeting, and shall be di-' vided among them in such proportion and in: suoh manner as the Directors may determine, or in default of determination, equally. A resolution of the majority of the Directors to forego or iwstpone the. receipt of the whole or any part of the remuneration shall bind, all the Directors, and their remuneration shall be abated or postponed accordingly. ' The Directors shall be entitled to bo paid by the Company their travelling expenses incurred on the Company's business. The Company will manufacture every grade of 1 , superphosphate, basio super, special manures, and all grades of adds, for commercial purpqses, and will trade in all lines of artificial manures. , An Agreement has been made bearing date the 29th of October, 1915, whereby Thomas' W. Deakes and Samuel I. Crookes, as Vendors and Promoters, agree with Charles J. Schnauer, of Auckland, Solici- ' tor, as Trustee for the Company, to assign aiid transfer their rights and benefits in several offers for an. unlimited supply of phosphata rock, and for the supply of other, necessary materials, and in an option from the New Zealand Loan and Mercantile Agency Company, Limited, over a suitable site of 40 acres, at £175 per acre, of which £150 per acre is to be paid by the Company in cash, and £25 per acre by the issue by the Company of 200 fully paid-up shares, also in general plans ,an information 'and data rela- ■ tue to .the works "and plant. The consideration therefor, and for their services as Promoters, to be the issue by the Company to eaoh of the Vendors of two thousand shares in the 1 capital of the Company credited as fully'.paid up to five pounds each.' Suoh consideration has been fully inquired into, and approved by, the Executive of the Auckland Provincial Farmers' TJnion, and it will be noted'that the Vendors to show thei.- confidence m„ the Company are .not asking any cash. In such Agreement the services of the " said Thomas- W. ' Deakes and Samuel I. Crookes are also secured as ■ Managing Director and Consulting Engineer respectively, on the tenns set out therein. '■ Brokerage will be payable by the Company to brokers on the subscriptions procured by them ,at the rate of 2J per cent, on the capital value of the shares. All reports referred to in this Prospectus;'copies of the Memorandum and Articles of Association of the Company, and of the Agreement, Option, and offers referred to can be inspected ai, the office of the Secretary, Mr. W. B. Kirkwood, Brunswick Buildings, Queen Street, Auckland, during business houre.\ The system of manufacturing concentrated manures, saving, freight and cartage to the farmers In outlying districts, will be an aim of the Company. It is anticipated that not'mora than £2 10s. per Share will be required ito be called up, calls to be at intervals of not less than two months. No payment will be made by the Company, either in bash or in shares, to any Promoter of the Company, excepting the 4,000 fully paid-up shares to the Vendors, as before mentioned. Application for shares should bo made on the form accompanying this Prospectus, forwarded to the Secretary, of the Company, together with the: amount per share' payable on application. If no allotment is made on any application the deposit will be returned' in full, and if the number of shares allotted on any application is less than the number applied for, the balance of application money will be applied in reduction of the allottee's future liability on the shares' allotted. . As the minimum subscription must he allotted within ninety days after the first issue of the Prospectus, the subscription list will close on or before the.seventh day of 1916. - This Prospectuß has been duly filed with the Registrar of Companies. , ■ .
