Christchurch Meat Company, Limited, are prepared to receive subscribtions at par for .£150,000 First Mortgage Debentures of .£IOO cach, bearing interest at 6 per centum per annum. The extraordinary conditions under which the Export Trado is now being conducted render a'very material increase in the Company's storage capacity neccssary. Largo extensions have therefore been authorised and are being proTided at Islington, Smithfield, and Burnside, ivhich will make provision for, approximately, an extra 280,000 carcasses over and above the storage space nowexisting. ... In addition the Directors have decided that an extension of tho Company's business to the North Island is essential to consolidate and protect the existingbusiness of the Company. The amount of the Debentures will be payable as follows:—viz., 10 per cent, on application aid tho balance on allotment. The interest at tho rate of £6 per centum per annum will accrue from the date of allotment, ■ and will bo payable half-yearly on tho Ist day of February and the Ist day of August to each year. Tho mortgage tax which the Company is liable to pay as agent for. each debenture holder will be deducted from the interest payable. Tho Debentures will be further secured by a Trust Deed executed in favour of the Trustees for the Debenture holders and comprising:— (1) A specific First Mortgage of the Company's land, buildings, fixtures, fixed plant, and fixed , machinery, included in the Balance-Sheet for the year ended 31st October, 1014, which, with movable plant, then stood at a .valuation of ,£253,898 19s. Id. (2) A floating charge upon the general undertaking, and assets of the Company, inoluding its uncalled capital. The amount of the uncalled capital (excluding .£4028 calls paid in advance) is ,£63,946. ~ . ..... The land which the Company has recently acquired at Wanganui and the -•i ; works which will be erected thereon are-not included in the specific mortgage above referred to, but will be covered by the floating charge. The Trust Deed and the form of Debenture, together with' the Company's Memorandum and Articles of Association, may be inspected at the Office of the '. Company's Solicitors at any time during office hours. The Debentures will be payablo to the registered holder, and will be transferable by duly registered transfer in the'form prescribed. The Debentures will be for ten years, but after the expiry of five years, i.e., on the Ist August, 1920, the Company may redeem Debentures up to tho value of JE30.000 at par, and in each following year a similar amount may also be redeemed. Tho particular Debentures to be redeemed will be determined by ballot, which wfll be held in each of tho years above mentioned. three months prior to the Ist August, and holders of the Debentures to be paid off-will be duly notified of the results of such ballot immediately it has taken place. Applications will be considered at par only, and must be made on the enclosed form, duly filled in and signed, and accompanied by a cheque for ten per cent, of tho amount applied for. If no allotment is made the deposit will bo returned in full. In the event of the issue being over-subscribed on the 30th July, 1915, the Board will allot pro rata.
