Morrison who offer themselves for re-election As soon as such business is concluded tho Meeting will resolve itself into an Extraordinary General Meeting for the ~ purpose of considering, and if approved of passing, tho following six resolution! whicli are intended to be proposed to tlu Meeting as sepaTato and distinct resolu- ' tions. RESOLUTION NO. 1. That the objects of tho Company be extended so as to include power to acto quire and hold shares in any Com•n pany or Corporation carrying on inp- surance business of any kind, and se that for such purpose the provisions m of the Memorandum of Association of sr tho Company be, and they are hereby is altered by deleting from sub-clause id (0) of clause 3 the words "other than et a Company or Corporation carrying t- on insurance business ■of any kind," )3 and adding tho words "association or ■ society," so that tho said sub-clause (0) shall read as follows:—To invest and deal with the moneys of tho ComU pany not immediately required in such j. manner as may from time to .time be determined, and in particular in * 3 . purchasing or otherwise acquiring and holding shares in any limited company or corporation, association or society. And that the Directors be authorised to apply to the Court to confirm 'this Resolution. RESOLUTION NO. 2. That.Articles 79 and 82 of the Articles of Association of the Companv be altered by substituting the words "six hundred" for the words "one tliou- '" sand." n <{ RESOLUTION NO. 3. That Article 102 of the Articles of Association of the Company be altered by striking out 'and cancelling the words in brackets in sub-clause (4) of the said Articles ("other than com- . panics carrying on insurance business of any kind"), and by adding the words "associations or societies" after tho words "limited companies." RESOLUTION NO. 4. That Article 103 of the Articles of Association of the Company be cancelled Z and the following Article substituted, 0 to be numbered 103:— y "The Directors may with tho sanction d of the Company in General Meeting |. declare a dividend to be paid to tho n members upon the amount paid up t or duly credited as paid up on each k share,- aiid they may with the like d sanction declare and pay a bonu.s to e tho members. The Directors may also from time to time pav to tho ; members such interim dividends upon the amount paid up or duly credited as paid up on each sharo as appear to the Directors to be justified by the profits and position of the Company." RESOLUTION NO. 5 r That Ai tide 108 of the Articles of Association of the Company be altered by inserting tho words "or bonus" after a tho word "dividend" in the first lino 11 and the words "or bonuses" after the word "dividends" in the second line.
