PUBLIC NOTICES RANGITAIKI PLAINS DAIRY COMPANY, LIMITED EXTRAORDINARY GENERAL MEETING Notice is hereby given that an Extraordinary General Meeting of the above-named Company will be held at Bell's Hall, Edgecumbe, on Wed-< nestlay the 15th July, 1942, at: 10.30 a.m. for the purpose of considering, and, if thought fit, passing, with or without amendment, the following resolution which will be proposed as a Special Resolution: — "That the word 'carting' be inserted after the word 'handling' in the third line of article 105,2 (a) and that article 106 of the Company's Articles of Association be altered to read:— '106. The Directors shall out of what remains of such moneys received from the disposal of the produce of the Company as defined in Article 105 clause 2 (hereinafter called the net annual returns) pay to each bona fule member his proportion thereof to be assessed and computed in accordance with such basis or bases as shall from time to time be fixed and determined by the Directors. In fixing and determining such basis or bases the Directors may take into account and have regard in individual cases and/or in the cases of classes of suppliers to the following matters:— (I) The butterfat supplied by such 'member or to the value of the milk supplied by each member for butter or cheese making as determined by the total quantity of butterfat contained therein with or without the addition of other amounts representing either the contained casein or other solids in cheese, such amounts to be determined from time to time at the discretion of the Directors for the purpose of removing any injustices inflicted upon any particular member or members by any other method of payment. (II) The number of shares held by each such member and the provisions of these articles relative to shareholding. (III) The grade or class in which such milk cream or butterfat supplied by each member is placed. (IV) The making of reasonable allowances payments or deductions (and if thought fit at differential rate or rates to members or classes of members) to cover cost of cartage in cases where by arrangement with the Company members or classes of members jit their own expense cart their milk cream or butterfat instead of having same carted by the Company to any factory for manufacture into butter or cheese. (V) The subject matter of any recommendation relative thereto included in any resolution passed by the members of the Company at the Annual General Meeting of the Company. 3 (VI) All or any other facts matters and circumstances which in the opinion of the Directors should be taken into account in order to fix a basis or bases that will be fai'r and equitable to the various suppliers and classes of suppliers of butterfat to the Company. PROVIDED ALWAYS that where the Directors are of opinion that a member lias substantially complied with the requirements of a bona fide member they may, in their own solo discretion, make such payments to such members as if he were a bona fide member. PROVIDED FURTHER that the Directors may, if they deem it desirable so to do, make the foregoing paj-ment to any member for so much only of the milk, cream or butterfat supplied by such member as is supported by shares on the foregoing basis.' 'That the foregoing alterations and amendments to the Articles of Association of the Company be deemed to apply with yespect to the disposal of the nett annual returns for the year ended 30th June, 1942, and for subsequent years.'"
